ROYALTY FREE LICENSE AGREEMENT for Cinematic Stock Footage

The following is a Royalty Free End User License Agreement between you, or your employer and Cinematic Stock Footage.

Please read this agreement before downloading any Cinematic Stock Footage digital files.  Definition:  Digital files are any images/films, animations, videos, films or other audio/visual representations.  There are “also restrictions” for the Digital Files that are not allowed.

Grant of License:
You are granted a personal, non-exclusive, non-transferable Royalty Free License right to use and modify the digital films subject to certain restrictions.

Single User License: 
The Digital Media Files can only be used on one computer at any time.  You may not rent, lend, sublicense, lease the Digital files to another company, person or entity.  The Digital Files must be for your own use, or the use of your employer, or client who is the end user.  You must contact Cinematic Stock Footage if you need to use the Digital Files for multiple users.

General Use Grant: 
The Digital Media Files may be incorporated into a derivative work such as a film feature, video, broadcast, multimedia, advertisement, live performance, internet website presentation or print project. 

Restrictions: 
The Digital Media Files in whole or in part, and any derivative work thereof may not be used, sold, licensed, distributed, reproduced or displayed as template, stock elements, stand alone backgrounds, effects imagery elements, or downloadable files.  The digital Media Files cannot be included in any other clip media/stock product, collection library, or set of clips for distribution or resale.  This is even in the event the Digital Media files have been altered.

Cinematic Stock Footage restricts its footage if used in a work that will be reproduced, sold and distributed DVD’s, home videos, music videos, stills, as follows.  The Digital Media Files cannot comprise more than 30% of the length of the finished project, even if layered with other graphics; nor can the main value of the project come from the Digital Media Files.

The Digital Media Files may not be used in any way that can defame, malign, slander, libel, or vilify the persons, properties, races, customers, religions, cultures on the Digital Files.  Nor can the files be used in any manner with or as part of pornographic, libelous, infringing or illegal material.

Credit: 
If the Digital Media Files are used in Films or Broadcast Video products Cinematic Stock Footage wishes a credit that says Cinematic Stock Footage.

Rights:
All Digital Media Files are copyrighted.  Cinematic Stock Footage or its licensors and are protected by United States copyright laws, international treaty provisions, and other laws.  No intellectual property rights in the Digital Media Files are transferred to you.  Cinematic Stock Footage retains all rights not expressly granted in this agreement.

Liabilities: 
Cinematic Stock Footage will not be liable to you for any special, indirect, punitive or incidental damages that arise out of the use of, or inability to use the Digital Media Files.  Cinematic Stock Footage’s entire liability is only limited to the amount paid to Cinematic Stock Footage for the Digital Media Files.

Indemnity: 
You agree to indemnify and hold Cinematic Stock Footage, its Licensors and the officers, directors, agents and employees harmless from any claims, demands, liability of any kind arising from you use of the Digital Media Files or of you negligent act, omission, or conduct.

Cinematic Stock Footage warrants the digital Media Files to be free from defects for 60 days of delivery.  Your remedy is the replacement of the Digital Media Files.

Cinematic Stock Footage gives no rights or warranties with respect to use of names, trademarks, logo types, registered or copyrighted, designs or works of art depicted in any image, and the user must be satisfied that all rights, consents or permission as may be required for reproduction use is secured.  Cinematic Stock Footage cannot be held responsible for any erroneous or incomplete information.

Cinematic Stock Footage provides Digital Media Files as they are.  Cinematic Stock Footage makes no representation, express or implied.  This Agreement will be governed by the laws in force in the state of Florida.

Acknowledgement:
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE PRIOR TO AGREEING TO IT. IN CONSIDERATION OF CINEMATIC STOCK FOOTAGE AGREEING TO PROVIDE A MEANS FOR THE SALE OR LICENSE OF YOUR ACCEPTED CONTENT, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND CINEMATIC STOCK FOOTAGE, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND CINEMATIC STOCK FOOTAGE RELATING TO THE SUBJECT OF THIS AGREEMENT.
